These Submission Terms & Release (“Terms”) govern your submission of materials to Little Sparks LLC (doing business as “Little Spark Films”), together with its parents, subsidiaries, affiliated entities, and any affiliated financing or film-fund entity (collectively, “LSF,” “we,” “us,” or “our”). By submitting materials through our website/portal and checking the box acknowledging these Terms, you (“Submitter,” “you,” or “your”) agree to be bound by them. If you do not agree, do not submit.

1. What We Are Accepting Right Now

LSF is currently accepting lookbooks and pitch decks only (“Submission Materials”) for consideration.

No Unsolicited Scripts.
LSF does not accept and will not review unsolicited scripts. Do not include or upload any of the following:

• Full screenplays or teleplays (PDF, Final Draft, Word, or otherwise).

• Scene pages, dialogue pages, or script excerpts beyond brief samples within a pitch deck.

• Full treatments, beat sheets, or scene-by-scene outlines intended to function as a script substitute.

Any unsolicited script materials may be deleted, discarded, or returned unread at LSF’s sole discretion. You understand that technical receipt of a file does not mean it was reviewed.

2. No Generative AI Content

LSF will not consider submission materials that include generative-AI written content or AI-generated artwork/images. By submitting, you represent and warrant that none of your Submission Materials were generated by AI (in whole or in part), and that they contain no AI-generated or AI-assisted images/artwork (in whole or in part), unless LSF explicitly states otherwise in writing. LSF may reject any submission for suspected violation of this provision.

3. Purpose of Submission; No Obligation

You are submitting the Submission Materials solely for LSF’s evaluation of whether we may be interested in discussing the project further. LSF has no obligation to review your submission, respond to you, provide feedback, request additional materials, meet with you, or option, purchase, finance, produce, distribute, or otherwise exploit your project. Any response timeframe mentioned anywhere on our site is informational only and not a promise.

4. Non-Confidential Submission

You agree that your submission is non-confidential and is not submitted in confidence. LSF is not obligated to treat Submission Materials as confidential, and no confidential, fiduciary, or other special relationship is created by receiving or considering your submission.

5. You Retain Ownership; Limited License for Evaluation

You retain whatever rights you have in your Submission Materials. LSF does not acquire ownership of your Submission Materials by receiving them. However, you grant LSF a limited, non-exclusive, royalty-free right to receive, store, reproduce, and internally distribute your Submission Materials solely as reasonably necessary to evaluate the submission, including sharing with our employees, contractors, creative executives, advisors, professional consultants, insurers, potential financiers, and affiliated entities for evaluation purposes.

6. Similar Projects; Independent Development

You understand and agree that LSF may already be developing (or may later develop) projects that are similar or identical to your submission in theme, idea, concept, plot, character, setting, mood, genre, or other elements, and LSF may receive similar submissions from others. You agree that you will not base any claim against LSF on the fact that your submission may be similar to any LSF project, whether already in development or later developed.

7. Release and Waiver of Claims

TO THE MAXIMUM EXTENT PERMITTED BY LAW, you release and forever discharge LSF from any and all claims, demands, causes of action, liabilities, and damages of any kind (whether known or unknown) arising out of or related to: (a) LSF’s receipt, review, or non-review of your Submission Materials; (b) any alleged use by LSF of ideas, concepts, themes, plots, characters, sequences, formats, titles, or other elements that are the same as or similar to your Submission Materials; and/or (c) any communications (or lack of communications) with you regarding your submission.

This release includes, without limitation, claims for copyright infringement (to the extent based on similarity/access arising from the submission process), breach of implied-in-fact contract or other idea-submission theories, misappropriation of ideas, breach of confidence, and unfair competition or similar theories.

No compensation is owed to you unless and until LSF and you enter into a separate written agreement signed by an authorized LSF representative specifically governing compensation and rights.

8. Submitter Representations and Warranties

You represent and warrant that:

• You have the full legal right and authority to submit the Submission Materials and to grant the rights in these Terms.

• The Submission Materials are original to you or you otherwise control the rights necessary to submit them.

• The Submission Materials do not infringe any copyright, trademark, right of publicity, privacy right, contractual right, or other proprietary right of any third party.

• The Submission Materials do not contain unlawful, defamatory, or knowingly false statements presented as fact.

• The Submission Materials contain no generative-AI written content and no AI-generated or AI-assisted artwork/images.

• The Submission Materials do not contain viruses, malware, or harmful code.

9. Indemnity

You agree to defend, indemnify, and hold harmless LSF from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your breach of these Terms, or (b) any allegation that your Submission Materials infringe or violate a third party’s rights.

10. No Return of Materials

LSF has no obligation to return any Submission Materials. You should keep copies of anything you submit.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LSF will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to your submission. LSF’s total liability for any claim related to these Terms or your submission will not exceed USD $100 (or the minimum amount permitted by law, if greater). Nothing in these Terms limits liability to the extent it cannot be limited under applicable law.

12. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for (i) claims that may be brought in small claims court (if eligible), and (ii) requests for temporary injunctive relief to protect intellectual property rights, any dispute, claim, or controversy arising out of or relating to these Terms or your submission will be resolved by binding arbitration administered by the American Arbitration Association (AAA).

Arbitration will be conducted as follows:

• Rules: AAA Commercial Arbitration Rules (as modified by these Terms), unless AAA determines another set of AAA rules applies.

• Seat / Location: Dallas, Texas (Dallas County). Hearings may be held by videoconference at the arbitrator’s discretion.

• Arbitrator: One (1) arbitrator.

• Governing Law: Texas law. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration agreement.

• Fees and Costs: Allocation of arbitrator fees and administrative costs will be determined under the applicable AAA rules, except that LSF will pay or reimburse the arbitrator’s compensation and AAA administrative fees to the extent required for enforceability under applicable law. Each party will bear its own attorneys’ fees unless the arbitrator awards fees under a statute or contract that allows fee-shifting.

CLASS ACTION WAIVER: You and LSF agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding.

13. Governing Law and Venue for Court Actions

To the extent any dispute is not subject to arbitration, you agree to exclusive jurisdiction and venue in the state and federal courts located in Dallas County, Texas, and you waive any objection to inconvenient forum.

14. Entire Agreement; Severability; Updates

These Terms are the entire agreement between you and LSF regarding submissions and supersede any prior understandings on that subject. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. LSF may update these Terms from time to time by posting an updated version. The Terms in effect at the time of your submission will apply to that submission.

15. Electronic Signature

Checking the box and submitting materials constitutes your electronic signature and acceptance of these Terms.
